Provider Agreement

This agreement is between RISE Wellness LLC (“RISE Wellness”) and the licensed practitioner or practice opening a provider account (“you”). It adds to the Terms of Service. By checking the box at sign-up or placing an order, you agree to it.

1. Your representations

You confirm, now and each time you place an order, that:

• The NPI you provided is yours (or your practice's) and is active.
• You hold a current, unrestricted license to practice in each state where products will be used, and you will tell RISE Wellness within 5 business days if any license is suspended, restricted, surrendered or placed on probation.
• You are not excluded from any federal or state health care program.
• The information you gave during sign-up is accurate and complete.

2. Professional use only

• You will order products only for use in your own practice and within your scope of practice.
• You will not resell, transfer or distribute products to anyone who is not legally permitted to receive them, including members of the public.
• You are solely responsible for patient evaluation, clinical judgment, dosing, administration, informed consent, recordkeeping and follow-up.
• Where a product requires a prescription or other authorization, you will comply with all applicable requirements through the dispensing pharmacy.

3. Patient information stays out of the Portal

You will not enter patient names, dates of birth, diagnoses, prescriptions or other protected health information into the Portal, including order notes. RISE Wellness is not acting as your business associate through the Portal.

4. Storage and handling

You will store, handle and dispose of products as labeled and as required by law, and will not use products that are expired, damaged or improperly stored.

5. Adverse events and complaints

You will report any suspected adverse event, product quality issue or complaint to RISE Wellness at info@risewellnessrx.com promptly, and in any case within [NUMBER, e.g. 2] business days, and will cooperate with any related investigation or recall.

6. Pricing and confidentiality

Your account pricing is confidential. You will not share it with other practices or publish it.

7. Sales representatives and compliance

No one at RISE Wellness may offer you anything of value to induce orders or referrals, and you will not request it. Purchasing decisions must be based on your independent clinical and business judgment. Report any concern to info@risewellnessrx.com.

8. Records and audits

You will keep records reasonably needed to show that products were used in compliance with this agreement and the law, and will provide license verification or other reasonable information on request.

9. Suspension

RISE Wellness may suspend ordering immediately if it cannot verify your license or NPI, receives information suggesting misuse or resale, or believes continued sales would violate the law.

10. Term

This agreement continues while you have an account and survives account closure for obligations relating to products already purchased.
