Terms of Service

These terms govern use of the RISE Wellness provider portal at portal.risewellnessrx.com (the “Portal”), operated by RISE Wellness LLC, a [STATE OF FORMATION] company (“RISE Wellness,” “we,” “us”). By creating an account or placing an order you agree to these terms, our Privacy Policy and, for providers, the Provider Agreement.

1. Who may use the Portal

The Portal is a business-to-business ordering service. It is not open to the general public or to patients. Accounts are available only to:

• Providers: physicians, nurse practitioners, physician assistants and other practitioners holding an active National Provider Identifier (NPI) and a current, unrestricted license in the state where they practice, and the clinics or practices they own or work for.
• Sales representatives authorized by RISE Wellness.

You must be at least 18 years old and able to enter a binding contract. If you open an account for a practice, you confirm you are authorized to bind that practice to these terms.

2. Account approval and verification

Every account is reviewed before it can order. We check the NPI you provide against the national NPPES registry and may verify state licensure, DEA registration where relevant, identity and business information. We may approve, decline, suspend or close any account at our discretion, including if a license lapses, is restricted or cannot be verified.

You agree to keep your account information accurate and to tell us promptly if your license status, practice address or contact details change.

3. Your account and password

You are responsible for keeping your login credentials confidential and for all activity under your account. Do not share your account. Tell us immediately at info@risewellnessrx.com if you believe it has been accessed without permission.

4. No patient information

The Portal is not designed to receive protected health information (PHI). Do not enter patient names, dates of birth, diagnoses, prescriptions or any other patient-identifying information anywhere in the Portal, including order notes. Where a product requires a prescription, it must be handled through the dispensing pharmacy's own process, not through the Portal.

5. Products and professional use

Products offered through the Portal are sold only to licensed practitioners for use within their professional scope of practice and in compliance with all applicable federal and state laws. You are solely responsible for clinical decisions, including whether a product is appropriate for any patient, dosing, administration, informed consent and monitoring.

Product descriptions are provided for identification only. Nothing in the Portal is medical advice, and RISE Wellness makes no claim that any product diagnoses, treats, cures or prevents any disease. You agree not to resell products to the public or to anyone not licensed to receive them.

6. Pricing

Prices shown in your account are the prices for your account and may differ from list prices or from other accounts. Account pricing is confidential between you and RISE Wellness. Prices may change at any time; the price that applies is the one confirmed when your order is placed. We may correct obvious pricing errors and will contact you before shipping if a correction affects your order.

7. Orders and payment

Placing an order is an offer to buy. An order is accepted only when we approve it, and we may decline or cancel any order, for example if a product is unavailable or an account can't be verified. Payment terms: [PAYMENT TERMS, e.g. card at checkout / net 30 invoice]. Unpaid balances may lead to account suspension.

8. Shipping and tracking

Orders ship to the practice address on your account. Shipping terms: [SHIPPING TERMS, e.g. free USPS Priority on all orders]. Tracking is provided through the Portal once an order ships. Delivery estimates come from the carrier and are not guaranteed. Risk of loss passes to you on delivery to the carrier-confirmed address.

Please inspect each delivery when it arrives. Products that require refrigeration or special handling must be stored as labeled immediately on receipt.

9. Returns and wrong items

Because of the nature of the products, we do not accept returns of products correctly shipped. If you receive the wrong product, a damaged product, or a short shipment, report it within [NUMBER, e.g. 5] days of delivery at info@risewellnessrx.com with your order number and photos. We will ship the correct product at no charge, and may ask you to return or dispose of the incorrect item as we direct.

10. Sales representatives

Sales representatives are authorized to help you open an account, place orders on your behalf and answer product questions. Representatives may not give medical advice, make claims about products beyond the approved product information, or offer anything of value in exchange for orders or referrals. Report any such conduct to info@risewellnessrx.com.

11. Acceptable use

You agree not to misuse the Portal, including by attempting to access accounts or data that aren't yours, interfering with its operation, scraping it, reverse engineering it, or using it for any unlawful purpose.

12. Intellectual property

The Portal, the RISE Wellness name and logos, and all content we provide belong to RISE Wellness or its licensors. You may use them only to do business with us through the Portal.

13. Disclaimers

THE PORTAL IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, EXCEPT ANY WARRANTY THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW. We do not guarantee that the Portal will be uninterrupted or error-free.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RISE WELLNESS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PORTAL OR AN ORDER IS LIMITED TO THE AMOUNT YOU PAID FOR THE ORDER GIVING RISE TO THE CLAIM.

15. Indemnity

You agree to defend and indemnify RISE Wellness against claims arising from your use, prescribing, administration or resale of products, your breach of these terms, or your violation of any law or the rights of any third party, including any patient.

16. Suspension and termination

You may close your account at any time by contacting us. We may suspend or close your account if you breach these terms, your license or NPI can't be verified, or we are required to by law. Sections that by their nature should survive termination will survive.

17. Governing law and disputes

These terms are governed by the laws of [STATE WHOSE LAWS GOVERN THE TERMS], without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in [COUNTY AND STATE FOR DISPUTES], and you consent to their jurisdiction.

18. Changes

We may update these terms. If we make material changes we will notify you through the Portal or by email, and may ask you to accept the updated terms before your next order. Continued use after changes take effect means you accept them.
